of Incorporation
The
undersigned, being over the age of
eighteen years, in order to form a
corporation pursuant to the provision
of the New Jersey Nonprofit Corporation
Act, does hereby certify:
FIRST:
The
name of the corporation is 24-GAM
SCHOOL FUND, A New Jersey Non-Profit
Corporation.
SECOND:
This
Corporation is organized and operated
exclusively for charitable, educational
purposes within the meaning of Section
501(c)(3) of the Internal Revenue
Code. More specifically, the purposes
for which the corporation is organized
are:
To provide financial help to a non-profit
education institution, Excellent English
Medium School, of the 24-GAM community,
whose children are in need of a good
education up to high school level.
THIRD:
The
corporation shall have members qualifications
for which, and the related rights
and limitations of different classes
of which, shall be as set forth in
the by-laws of the corporation.
FOURTH:
The
method of electing trustees shall
be as set forth in the by-laws of
the corporation.
FIFTH:
The
address of the corporation’s initial
registered office is 67 Canterbury
Ct., Piscataway, NJ 08854-6209
and the name of the corporation’s
initial registered agent is Mr. Vimal
M. Patel.
SIXTH:
The
number of trustees constituting the
first board is five, and the name

by-laws shall provide the numbers
(not less than three) of the subsequent
board.
SEVENTH:
The
name and address of the incorporator

EIGHTH:
Upon
dissolution of the corporation, after
payment of all debts, no part of the
remaining assets may be distributed
to any trustee, member or officer
of the corporation but shall be distributed
as the by-laws may direct in accordance
with law, provided, however, that
the distribution must be to another
organization exempt under the provisions
of Section 501(c)(3) of the United
States Internal Revenue Code or to
the United States, or a State or local
government, for a public purpose.
NINTH:
No trustee, member,
or officer of the corporation shall,
as such, receive or become entitled
to receive at any time any part of
the net earnings or other net income
of the corporation; nor shall any
part of the net earnings of the corporation
inure to the benefit of any person,
except as reasonable compensation
for services rendered and reimbursement
for expenses incurred in conducting
its affairs and carrying out its purposes;
nor shall a substantial part of the
activities of the corporation be carrying
on propaganda or otherwise attempting
to influence legislation; nor shall
the corporation participate or intervene
in any political campaign on
behalf of, or in opposition to, any
candidate for public office.
Notwithstanding any
other provision of this Certificate
of Incorporation, the corporation
shall not carry on any other activities
not permitted to be carried on (a)
by a corporation exempt from federal
income tax under Section 501(c)(3)
of the Internal Revenue Code or (b)
by a corporation contributions to
which are deductible under Section
170(c)(2) of the Internal Revenue
Code.
TENTH:
In
any taxable year in which this corporation
is a private foundation as described
in Section 509(a) of the Internal
Revenue Code, the Corporation (1)
shall distribute its income for such
period at such time and in such manner
as not to become subject to the tax
on undistributed income imposed by
Section 4942 of the Internal Revenue
Code of 1954;
(2) shall not engage
in any act of self-dealing as defined
in Section 4941(d) of the Internal
Revenue Code of 1954; (3) shall not
retain any excess business holdings
as defined in Section 4943(c) of the
Internal Revenue Code of 1954; (4)
shall not make any investments in
such manner as to subject it to tax
under Section 4944 of the Internal
Revenue Code of 1954; and (5) shall
not make any taxable expenditures
as defined in Section 4954(d) of the
Internal Revenue Code of 1954;
ELEVENTH:
The
corporation shall indemnify every
corporate agent as defined in and
to the full extent permitted by Sections
15A:2-8 and 15A:3-4 of the New Jersey
Nonprofit Corporation Act, and to
the full extent otherwise permitted
by law.
